Arzinger & Partners has the strong Corporate and M&A practice.

We represent our Clients in all aspects of corporate life - from the establishment of the enterprise to its operation, reorganization and liquidation, namely:

we provide legal advice on the optimal choice of organizational form of an enterprise;

we prepare drafts of constituent documents and other related documentation (for the international Clients documents are prepared in German and English);

we represent the interests of our Clients in relations with state authorities.

We provide legal support of creating representations and affiliated branches of the company.

Arzinger & Partners counsels and prepares legal opinions in a full spectrum of corporate/M&A matters:

assists in choosing the best way of shares transactions;

estimates and optimizes the taxation of such transactions,

takes part in negotiating the terms of transactions with the state authorities and commercial companies;

prepares the draft contracts regarding the transactions with shares and provides legal support of the conclusion of such transactions.

Our experience includes full legal support in a variety of other matters concerning, for instance, registration and operation of the unitary enterprise.

We also serve as general counsel for Clients representing them in corporate disputes.

PROJECTS

We assisted in registration of the world companies operating in various fields - from metalworking, telecommunication and transport to publishing, light industry and IT.

One of the latest projects in this practice area was the full legal support of the privatization of the Republican unitary enterprise Motex by reorganizing it into the public corporation.

In 2008 Arzinger & Partners assisted the German KREISEL, which had already had the wide distributor net in Eastern Europe to enter the Belarusian market of constructional materials.

The oldest German company Gühring (existing from 1898), which specializes on the production of tools also relied on Arzinger’s experience in registration of a company in Belarus.

We are assisting ARtec Fenstersysteme GmbH in reorganizing its subsidiary company from the unitary enterprise into the LLC.
